Notice of the Merger of Tungaloy Corporation and NTK Cutting Tools Co., Ltd.

We are pleased to announce that Tungaloy Corporation and NTK Cutting Tools Co., Ltd. will merge effective January 1, 2027. Tungaloy will continue as the corporate brand, and the integrated organization will operate under the Tungaloy name while retaining the NTK brand.

As a result of this merger, all contractual rights, obligations, and responsibilities of NTK Cutting Tools Co., Ltd. will be transferred to and assumed by Tungaloy Corporation as of January 1, 2027.
The departments related to NTK Cutting Tools products will be integrated into Tungaloy Corporation as a business division.

Products and services under both the Tungaloy and NTK brands will continue without interruption. As a unified organization, we will leverage the combined strengths and technologies of both brands to deliver even greater value to our customers and further support innovation in manufacturing.

Any operational changes related to transactions with NTK Cutting Tools Co., Ltd. will be communicated separately once finalized.
